1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and Conviro ("we", "our", or "us"), based in Tallinn, Estonia.
By creating an account, accessing, or using our platform at app.conviro.io and related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree, you must not use the Service.
2. Definitions
- "Service" means the Conviro AI chatbot platform, including the dashboard, APIs, widgets, integrations, and all related tools.
- "Workspace" means the tenant environment created upon registration, containing your chatbots, knowledge base, contacts, conversations, and settings.
- "End User" means a visitor or customer who interacts with your chatbot widget.
- "User Content" means all data, text, files, knowledge base articles, flow configurations, and other materials you upload or create within the Service.
- "AI Output" means any text, response, or content generated by the AI models through the Service.
3. Account Registration and Eligibility
To use the Service, you must create an account and provide accurate, complete information. You must be at least 18 years old or the age of legal majority in your jurisdiction. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
Each Workspace may have multiple team members with different roles (Owner, Admin, Agent). The account Owner is responsible for all activities within the Workspace and for ensuring that invited team members comply with these Terms.
4. Use License and Restrictions
Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes during the subscription term.
You agree not to:
- Use the Service for any illegal, harmful, or fraudulent purpose.
- Reverse engineer, decompile, or disassemble any part of the Service.
- Attempt to bypass usage limits, rate limits, or security measures.
- Use the Service to send spam, unsolicited messages, or harass End Users.
- Resell, sublicense, or white-label the Service without explicit written permission (except where your plan includes white-label features).
- Use the Service to build a competing product or service.
- Introduce malicious code, viruses, or harmful scripts through the API, webhooks, or knowledge base.
- Misrepresent AI-generated responses as human-authored when required by applicable law.
5. Plans, Pricing, and Billing
5.1 Subscription Plans
The Service is offered under tiered subscription plans (Free, Starter, Pro, Growth, and Enterprise). Each plan includes specific limits on messages per month, chatbots, channels, team members, knowledge sources, and AI modes. Plan details and current pricing are available at useconviro.com/pricing.
5.2 Billing
All prices are listed in Euros (EUR) and include applicable VAT (tax-inclusive pricing). Billing is processed monthly or annually through Stripe. By subscribing to a paid plan, you authorize Conviro to charge your payment method on a recurring basis until you cancel.
5.3 Upgrades and Downgrades
You may upgrade your plan at any time; the change takes effect immediately and billing is prorated. Downgrades take effect at the end of the current billing cycle. If your usage exceeds the limits of your new plan after a downgrade, certain features may be restricted.
5.4 Overage Billing
On plans that support overage billing (Pro, Growth), messages exceeding your monthly limit are billed in blocks as specified in your plan. On plans without overage support (Free, Starter), messages are paused until the next billing cycle.
5.5 Taxes
Prices include VAT. For EU business customers who provide a valid VAT ID, reverse charge applies per EU Directive 2006/112/EC, Art. 196. The VAT ID is verified through Stripe during checkout.
6. Cancellation and Refunds

- No refunds: All subscription payments are non-refundable. SaaS services cannot be "returned" once access is granted. We encourage you to use the Free plan to evaluate the Service before upgrading.
- Cancellation: You may cancel your subscription at any time from your dashboard. Your access continues until the end of the current billing period. No further charges are made.
- Annual subscriptions: Non-refundable and non-prorated. Access continues until the end of the 12-month period.
- Billing errors: Duplicate charges, incorrect amounts, or charges after completed cancellation will be refunded within 5 business days.
7. User Content and Data Ownership
You retain all ownership rights in your User Content. By uploading content to the Service, you grant Conviro a limited, non-exclusive license to process, store, and display your content solely for the purpose of providing the Service.
We do not use your User Content, conversation data, or knowledge base materials to train our AI models. Your data is isolated within your Workspace and is never shared with other customers.
You are solely responsible for ensuring that your User Content complies with applicable laws, does not infringe third-party intellectual property rights, and does not contain illegal, defamatory, or harmful material.
8. AI-Generated Content: Limitations and Disclaimer
The Service uses third-party AI language models (including but not limited to models from Anthropic, OpenAI, and Google) to generate responses. You acknowledge and agree that:
- AI Output may occasionally be inaccurate, incomplete, misleading, or contextually inappropriate.
- You are responsible for reviewing and verifying AI Output before relying on it for critical decisions.
- Conviro does not guarantee the accuracy, completeness, or suitability of any AI Output.
- You must not use AI Output as a substitute for professional medical, legal, financial, or other expert advice.
- You are responsible for disclosing to your End Users that they are interacting with an AI system where required by law (e.g., EU AI Act).
9. Intellectual Property
The Service, including all software, design, branding, documentation, and proprietary technology, is owned by Conviro and protected by applicable intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except the limited use license described in Section 4.
10. Privacy and Data Protection
Our collection and processing of personal data is governed by our Privacy Policy. We process personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable Estonian data protection laws. By using the Service, you agree to our Privacy Policy.
Where you process personal data of End Users through the Service, you act as the data controller and Conviro acts as the data processor. Enterprise customers may request a Data Processing Agreement (DPA) by contacting [email protected].
11. Service Availability and SLA
We strive to maintain 99.9% uptime for the Service. However, the Service is provided "as is" and we do not guarantee uninterrupted or error-free operation. We may perform scheduled maintenance with advance notice via email and our status page.
Enterprise customers with a signed SLA are entitled to service credits as specified in their agreement. For all other plans, Conviro's total liability for service interruptions is limited to one month's subscription fee.
12. Third-Party Integrations
The Service integrates with third-party platforms including WhatsApp, Instagram, Telegram, WooCommerce, Shopify, HubSpot, Zapier, Make, and others. These integrations are subject to the respective third-party terms and conditions. Conviro is not responsible for the availability, accuracy, or policies of third-party services.
13. Limitation of Liability
To the maximum extent permitted by law, Conviro shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or in connection with the use of the Service.
Conviro's total aggregate liability under these Terms shall not exceed the total fees paid by you to Conviro during the twelve (12) months immediately preceding the event giving rise to the claim.
14. Indemnification
You agree to indemnify, defend, and hold harmless Conviro, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.
15. Termination
Either party may terminate these Terms at any time. You may cancel your account through the dashboard or by contacting support. Conviro may suspend or terminate your access if you violate these Terms, fail to pay fees, or engage in abusive behavior.
Upon termination, your right to use the Service ceases immediately. Your data will be retained for 30 days to allow for export, after which it will be permanently deleted. You may request immediate data deletion by contacting [email protected].
16. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Estonia. Any disputes arising from these Terms shall be resolved exclusively in the courts of Harju County, Tallinn, Estonia.
For EU consumers, this does not affect your statutory rights under mandatory consumer protection laws of your country of residence.
17. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes via email or through a notice on the Service at least 30 days before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
